With key milestones achieved across regulatory approvals, platform launches, leadership expansion, and enterprise solutions, we continue to execute on our mission to transform private markets through technology, innovation, and financial expertise.

FINRA Approval – Mallory Capital Group Acquisition
We are pleased to announce that our acquisition of Mallory Capital Group has now been formally approved by FINRA. This milestone establishes Capital Engine® as a fully integrated broker-dealer operator, enabling us to manage compliant private placements, execute securities transactions, and expand our regulated offerings. Updated Executive Search: Resuming Hunt For COO
In July 2025, we initiated a focused executive search for both a Chief Operating Officer (COO) and a Chief Revenue Officer (CRO). The criteria for these critical roles included a strong emphasis on FINRA-licensed executives with deep experience in regulatory compliance (specifically scaling the broker-dealer), private markets, and investment banking.

While our search for the CRO continues to progress well, the recent trial period for the COO role did not meet our expectations. As a result, we are actively resuming our search for a qualified Chief Operating Officer through LinkedIn

We remain committed to identifying a COO who can successfully navigate the complexities of our regulatory environment, drive operational excellence and expand our broker dealer services.

USA REIT Platform Launched in October 2025
We officially launched USA REIT, our private markets real estate investment platform, in October 2025. USA REIT offers institutional-grade access to commercial real estate securities, syndications, 1031 exchanges, and secondary market liquidity solutions.

We also welcomed Laura Pamatian as COO of USA REIT, bringing two decades of expertise in real estate and proptech to lead the platform’s growth, sponsor onboarding, and investor experience. Read Press Release.

Strategic Expansion: Launching Africa Markets
Our strategic partnership to launch Africa Markets - the first global marketplace for private shares in Africa - is moving forward with significant interest from various African strategic partners.

Built upon our robust Capital Engine® infrastructure, Africa Markets will serve as a compliant, centralized platform for both primary and secondary market transactions. This initiative is designed to directly support:
  • Private company fundraising
  • Secondary liquidity programs
  • The delivery of data-driven investment insights

This initiative positions Capital Engine® at the center of a fast-growing frontier for global private market investing.

Enterprise Solutions – Reg A & Broker-Dealer Platforms
Accretiv USA: We successfully delivered a custom Reg A+ solution for Accretiv USA, enabling them to raise capital seamlessly from both accredited and non-accredited investors. We are also pleased to confirm that we have signed our second Reg A client, underscoring demand for our scalable fundraising infrastructure.

Regiment Securities: We completed the rollout of a broker-dealer platform solution RegimentXpress, equipping Regiment Securities with end-to-end compliance, digital subscriptions, and investor management tools. This white-labeled platform is live and already supporting deal activity.

Series A Raise – $4 Million Now Open
Following the close of our $1 million seed round, we have now launched our $4 million Series A . This round will fuel our next phase of growth, including technology development, global expansion, and scaling of our broker-dealer Mallory Capital Group, deal flow and secondary trading solutions.
