Capital Engine® Quarterly Update — Q2 / 2025

As we close out Q2 and move into a pivotal second half of the year, Capital Engine® continues to make significant strides in scaling our platform, expanding our leadership team, and executing on our vision to transform the private capital markets. This quarter was defined by strategic growth initiatives, new platform rollouts, and company leadership expansion—all aligned with our mission to bring efficiency, access, and liquidity to private markets globally.
$3.5 Million Capital Raise Underway – 2nd Tranche at $6/Share
We are pleased to announce the launch of our second fundraising tranche in Q3, a $3.5 million capital raise at a share price of $6, following the successful close of our initial $1.2 million seed round. This round is part of our $5 million capital raise and reflects both our strong 2024 performance and increased market confidence in our platform. The funding will be deployed to accelerate product development, expand our team, and scale client delivery across all platform verticals.
Mallory Capital Group Acquisition
Our acquisition of Mallory Capital Group, a FINRA-registered broker-dealer, is in its final stages, with regulatory approval currently pending from FINRA. Once approved, this acquisition will significantly enhance Capital Engine®’s ability to facilitate regulated securities offerings and execute on private placement transactions in-house, bolstering our compliance framework and expanding our service offerings.
Leadership Expansion – New COO and CRO Start July 2025
To support our growth, we are onboarding two key senior executives in July 2025:

USA REIT Launch – July 2025
We are proud to announce the official launch of USA REIT, our private markets platform for commercial real estate, in July 2025. USA REIT provides access to curated real estate offerings, 1031 exchanges, real estate funds, syndications, and secondary market liquidity.
We’ve appointed Laura Pamatian as COO of USA REIT, who brings extensive real estate and PropTech experience to lead platform onboarding, sponsor relations, and investor engagement. This launch further positions Capital Engine® as a leader in institutional-quality real estate investment solutions for the private markets.
Africa Markets Partnership – November 2025 Launch Planned
In partnership with regional and global stakeholders, we are building Africa Markets, the first global marketplace for private shares in Africa, scheduled to launch in November 2025. The platform will enable primary and secondary market transactions for African startups, growth-stage companies, and private funds—offering liquidity solutions, syndication tools, and investor lifecycle management. Built on Capital Engine® infrastructure, this initiative brings much-needed transparency and access to the African private capital ecosystem.
Custom Reg A+ Platform Development – Accretiv USA
We are developing a tailored Reg A+ fundraising solution for Accretiv USA, allowing them to efficiently raise capital from both accredited and non-accredited investors. The platform includes integrated investor onboarding, e-signature, payment processing, compliance tools, and document management. This solution is scheduled for rollout in late 2025 and is designed to streamline high-volume capital formation at scale.
Broker-Dealer Platform Rollout – Regiment Securities
Our enterprise team is actively deploying a bespoke broker-dealer platform solution for Regiment Securities, built on Capital Engine® infrastructure. This white-labeled platform includes robust investor onboarding, deal tracking, digital subscriptions, compliance management, and CRM integrations. Go-live is planned for Q3 2025 and will help Regiment automate processes and grow its capital markets business.
