FINRA Approval Secured – Mallory Capital Group
We are pleased to confirm that our acquisition of Mallory Capital Group received formal FINRA approval in 2025. This milestone enables Capital Engine® to operate with fully integrated broker-dealer capabilities and deliver compliant private placements, Reg A offerings, and secondary market transactions at scale. Executive Leadership in Place
We are currently engaged with a number of highly qualified candidates for the Chief Operating Officer (COO) role, a position that will ultimately lead and oversee our broker-dealer operations through Mallory Capital Group. This hire is a critical step as we scale regulated execution, enterprise partnerships, and secondary market activity across the platform. We expect to have this role finalized and in place by the end of February 2026.
Following the December 2025 onboarding of our Chief Revenue Officer (CRO), Erik Cooper, whose background spans corporate and investment banking, founding his own tech startups, and leading venture capital efforts, giving him an unmatched ability to execute in our business environment. We anticipate a strong positive impact beginning in Q1 2026, including accelerated strategic partnerships, improved execution velocity, and strengthened revenue performance across all platform verticals.
USA REIT Platform Scaling
Our USA REIT private markets real estate investment platform, launched in July 2025, continued to gain traction throughout Q4. USA REIT Markets provides sponsors and investors with access to curated commercial real estate offerings, funds, syndications, and future liquidity pathways.

Africa Markets – Launch Targeted for Q2 2026
Development and partnerships for Africa Markets, the first global marketplace for private shares in Africa, advanced significantly in Q4. To ensure regulatory readiness, liquidity programs, and strategic market depth, launch is now targeted for Q2 2026.
